Insightflow Platform Terms of Service (SaaS)

1. Introduction

These Terms of Service govern your use of the Insightflow SaaS platform and associated services ("Service") provided by Insightflow Ltd. ("Insightflow," "we," "us," or "our").

By creating an account or using the Service, you confirm that you accept these Terms and that a legally binding contract is formed between you and Insightflow Ltd.

2. Eligibility

The Service is available only to individuals aged 18 years or older. We may refuse access or change eligibility requirements at our sole discretion.

3. Account Information

To use the Service, you must create an account with accurate and current information. You warrant that the information provided is accurate and kept up to date. Shared use of accounts is not permitted. Each individual must have a separate account.

4. Your Account Responsibilities

You are responsible for maintaining the confidentiality of your password and account, and for all activities under your account. Notify us immediately of any unauthorized use. We are not liable for any losses resulting from unauthorized use of your account.

5. Intellectual Property Rights and Our Service

All Content on the Service, unless submitted by users, is owned or licensed by Insightflow. You may access, download, view, and use the content for permitted purposes unless explicitly granted further rights. You may not reproduce, copy, distribute, sell, rent, sub-license, or store content from the Service unless clearly given express written permission to do so, or unless permitted by applicable UK copyright exceptions.

6. User Content

You retain ownership of content you upload. You must not upload content that you do not own or do not have permission to share and license as required by Clause 7. You are solely responsible for your User Content.

7. Content Licensing

By making your User Content available to others in a Library, you grant Insightflow and other Library Users a non-exclusive, royalty-free, worldwide licence to use, store, reproduce, distribute, adapt, and create derivative works from that content. You must not change the visibility of content unless you have the appropriate rights to license the content.

8. Disclaimer of Warranties and Limitation of Liability

The Service and all content are provided "as is" and "as available." Your sole remedy against us for dissatisfaction is to stop using the Service. If you are a consumer, this does not affect your statutory rights.

Insightflow's platform includes features powered by artificial intelligence. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. We do not accept liability for damages arising from reliance on AI-generated content.

To the extent permitted by law, we exclude all liability for indirect or consequential loss. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence or for defective digital content under the Consumer Rights Act 2015.

9. Payment

Subscriptions are billed monthly in advance. Tier levels are determined by the number of Assets associated with your account. Subscriptions automatically renew unless cancelled before the renewal date. You will be notified by email at least 3 days before renewal.

If you are a consumer, you may cancel your subscription within 14 days of purchase and receive a refund in accordance with the Consumer Contracts Regulations 2013.

10. Cancellation and Termination

You may cancel your subscription through the platform at any time. Upon cancellation, your content may be deleted within 90 days unless required for legal compliance. Content reused by others will not be removed.

11. Take-down Process

If you believe content on the Service breaches copyright, is defamatory, or otherwise unlawful, contact us at info@insightflow.io. We will investigate and may temporarily or permanently remove the content.

12. Warranties and Disclaimers

Insightflow Ltd will use reasonable skill and care in delivering the Service but does not guarantee uninterrupted access. We make no warranties regarding user-generated content or identity claims of other users.

13. Our Liability

We accept no liability to users except where exclusion is unlawful. For consumers, statutory rights are unaffected. This exclusion does not apply where it would be deemed unfair under the Consumer Rights Act 2015.

14. Viruses, Malware, and Security

We use reasonable efforts to keep the Service secure, but we do not guarantee it is free from malware. You are responsible for securing your devices and must not misuse the Service.

15. Privacy and Cookies

Use of the Service is subject to our Privacy Policy and Cookie Policy.

16. Data Protection

All personal data is handled in accordance with UK data protection law. Where personal data is transferred outside the UK/EEA, appropriate safeguards such as Standard Contractual Clauses or adequacy decisions are applied.

17. Communications

We may send you important notices by email. Marketing communications will only be sent with your consent. You may opt out at any time.

18. Changes to Terms

We may update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

19. Governing Law and Jurisdiction

These Terms are governed by the law of England & Wales. Consumers may rely on mandatory provisions of their local laws. Disputes shall be resolved in the courts of England & Wales unless otherwise required by consumer protection laws.

20. Force Majeure

We are not liable for failure or delay in performing obligations due to events beyond our control, including natural disasters, war, internet failures, or third-party outages.
